2.2. There is no fixed start date for the Program. Your access begins on the date your purchase is confirmed in accordance with clause 4.2 and continues for a period of twelve (12) months from that date (the “Access Period”), after which your access to the Program will end.
2.3. We reserve the right to vary or withdraw elements of the Program or Program Materials from time to time, provided that any such change will not materially reduce the overall value of the Program to you during your Access Period.
2.4. We do not guarantee that you will obtain any particular result, grade, qualification or employment outcome from your purchase, trial or completion of the Program.
- Trial access
3.1. We may offer prospective learners trial access to one unit of the Program for a period of seven (7) days from first access (the “Trial”). The Trial is provided for evaluation purposes only and does not entitle you to access any other part of the Program, other than as made available during the Trial.
3.2. On expiry of the Trial, you must purchase the Program in order to gain access to the full Program. We do not guarantee that progress or activity recorded during the Trial will carry over to your paid Program access.

4.3. The Fees are payable at checkout, plus any applicable local taxes, which will be calculated and shown to you at checkout. Fees are debited at the time of purchase. Any charges applied by your card provider in connection with your purchase are for your own account.

You are not authorised to: (i) copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Program Materials without our prior written permission; (ii) record on video or audio, relay by videophone or other means, or otherwise rebroadcast, the Program; (iii) use the Program Materials in the provision of any other course or training, whether given by us or any third party; or (iv) remove any copyright or other notice of Fitch Learning on the Program Materials. Breach by you of this clause 8.3 shall allow us to immediately terminate these Terms with you and cease to provide you with any Services, including access to the Program.
- Confidentiality
9.1. Each party shall keep the other party’s Confidential Information strictly confidential and not use it otherwise than for the purposes of these Terms and shall return it on demand and not retain copies of it.
9.2. Either party may disclose Confidential Information to its legal and other advisors for the purposes of obtaining advice from them.
9.3. This clause shall continue notwithstanding termination of these Terms.
- AI-enabled learning support
10.1. The Program may include access to AI Support and Learning Coaches that assist learners throughout their studies (the “AI-Enabled Product”). Your access to and use of the AI-Enabled Product is governed by the AI Addendum, which is incorporated into, and forms part of, these Terms. 10.2. The AI Support and Learning Coaches does not access or track your personal data, course progress or grades.
- Liability
11.1. Nothing provided as part of the Program is, or is intended to be, or should be taken to be, the provision of investment, financial, legal or other professional advice.
11.2. Although Fitch Learning aims to provide the Program to the highest standards of the industry, we do not accept liability for: (i) any inaccuracy or misleading information provided in the Program or Program Materials and any reliance by you on any such information; (ii) any loss or corruption of data; (iii) any loss of profit, revenue or goodwill; or (iv) any indirect, special or consequential loss arising from any breach of these Terms.
11.3. Except to the extent that they are expressly set out in these Terms, no conditions, warranties or other terms shall apply to the Program. Subject to clause 11.5, no implied conditions, warranties or other terms apply (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description).
11.4. Subject to clause 11.5, Fitch Learning’s total liability arising from or in connection with these Terms and in relation to anything which we may have done or not done in connection with these Terms and the delivery of the Program (whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Fees received by us in connection with the Program in relation to which a dispute has arisen.
11.5. Nothing in these Terms shall exclude or limit Fitch Learning’s liability for (i) death or personal injury caused by negligence, (ii) fraudulent misrepresentation, or (iii) any other matter which under English law may not be limited or excluded, and nothing in this clause removes any statutory protection available to you as a consumer under the law of your country of residence.
11.6. No claim may be brought more than six months after the date your Access Period ends.
- Termination
12.1. We shall be entitled to terminate these Terms and cease to provide you with the Program with immediate effect in the event that you: (i) fail to pay when due your Fees; (ii) breach clause 8.3 (Intellectual Property); (iii) cheat or plagiarise any work which you are required to prepare or submit in connection with the Program or during any assessment taken in connection with the Program; or (iv) are in breach of these Terms.

These Terms, together with the AI Addendum and any order confirmation, are the entire agreement between the parties relating to the Program and supersede any prior agreements and arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these Terms. Nothing in this clause or these Terms shall limit liability for any fraudulent misrepresentation.
- Force majeure
15.1. Fitch Learning shall not be liable to you for any breach of its obligations or termination under these Terms arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes and other Acts of God, terrorism, strikes, delay caused by transport disputes, and Government edict or regulation.
- Changes to these Terms
16.1. We may update these Terms from time to time, including to reflect changes to the Programme, the AI Addendum or applicable law. The version of these Terms you accepted at purchase will continue to apply to the Programme you purchased, save for any change we are required to make for legal, regulatory or security reasons, or any change to the AI Addendum made in accordance with its own terms. We will take reasonable steps to notify you of any material change that affects you.
- Data protection
